By accessing or using the Indicia HR platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Indicia HR provides background screening, identity verification, employment verification, and education verification services through its online platform. Our Services are designed for use by employers, recruiters, and authorized organizations for lawful employment screening purposes.

Indicia HR is a product owned and operated by Confidion Consulting & Technologies Inc. ("Confidion"). In these Terms, "we," "us," and "our" refer to Confidion Consulting & Technologies Inc.

3. User Accounts

To use certain features of the Services, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities under your account

4. Permitted Use

You agree to use the Services only for lawful purposes and in accordance with applicable laws, including the Fair Credit Reporting Act (FCRA) and any relevant state and local regulations. You shall not use the Services to discriminate against any individual on the basis of race, color, religion, sex, national origin, age, disability, or any other protected characteristic.

5. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Services, you consent to the practices described in the Privacy Policy.

6. Payment Terms

Certain Services require payment. You agree to pay all fees associated with your use of the Services. All payments are non-refundable unless otherwise stated. We reserve the right to change our pricing with reasonable notice.

7. Intellectual Property

The Services and all associated content, features, and functionality are owned by Indicia HR and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of the Services without our express written permission.

8. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any results, reports, scores, or other output obtained through the Services will be accurate, complete, current, or reliable. Screening results depend on information supplied by third-party sources and by the individuals being screened. Where the Services use artificial intelligence or automated analysis, you acknowledge that such output may contain errors and must not be relied upon as the sole basis for any decision. You are responsible for independently verifying results and for making your own employment and eligibility decisions in compliance with applicable law.

9. Limitation of Liability

To the maximum extent permitted by law, Confidion shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total aggregate liability arising out of or relating to the Services shall not exceed the greater of CAD $100 or the amount paid by you for the Services in the twelve (12) months preceding the event giving rise to the claim.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services that cannot be resolved informally shall be finally resolved by arbitration seated in Halifax, Nova Scotia, in accordance with applicable Canadian arbitration legislation. The language of the arbitration shall be English, unless otherwise required by law. Nothing in this section prevents either party from seeking injunctive or equitable relief from a court of competent jurisdiction to protect its intellectual property or confidential information.

11. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, upon notice. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall remain in effect.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
